We are looking for a high calibre legal professional to take ownership of corporate matters. Forming part of the in-house legal team of our client, a global leading internet services and domain name management technology company, the Legal Counsel will be able to take ownership on a broad mix of transactions, as well as have the opportunity to assist on complex matters. The core focus of the work will cover all aspects of group and intercompany corporate matters, compliance with FCA and LSE regulations, M&As and re-organisations.

Responsibilities of the Role:

Ideally you bring a successful track record of experience in a law firm or in-house in a LSE public listed company, and would have attended law school in Germany.

In this position, your responsibilities include:

• Assist with corporate matters - (prepare general meetings, board meetings, board appointments, filings, intercompany agreements, coordinate with external lawyers on business registrations);
• Ensure full compliance of all German subsidiaries (including FCA regulated entity) with all statutory reporting requirements and advise on best practice governance requirements for key operating subsidiaries;
• Maintain and update statutory records including the preparation and filing of documents with German Companies House such as Handelsregister for all German companies;
• Prepare relevant documents related to group reorganisations (group mergers/liquidations) track, complete legal documentation and ensure its proper execution;
• Support drafting processes or systems to help ensure good management of the organisation or compliance with legislation;
• Train directors and members of the senior leadership team on corporate governance matters;
• Provide company secretarial support to a portfolio of companies within the Holding Group, coordinate with external counsel to ensure timely and correct completion;
• Support drafting departmental and business-wide procedures and controls for the company secretarial function that reflect best practice and/or mitigate business risks;
• Provide prompt and accurate ad hoc legal and compliance information as requested by internal teams;
• Keep up to date with any regulatory or statutory changes and policies that might affect the organisation.

What we are looking for:

• University degree in Law (Staatsexamen), ideally from a German University with a solid understanding of German law, including intercompany law, M&A or legal compliance.
• Min. 5 years of experience in corporate role, including meeting and minutes writing, negotiating corporate transactions documents, legal compliance, or merger and acquisitions.
• The skills, willingness, and initiative to own legal issues across many different jurisdictions;
• Excellent command of English, and excellent interpersonal, oral, written communication and influencing skills;
• Comfort in working in a global matrix organisation and persistence to drive change over time;
• Ability to analyse complex information and identify key and relevant points, including communicating in a relevant and easy to understand manner.
• Passion about technology-driven and consumer-led businesses;
• Strong organisational skills and experience in taking responsibility for and managing workstreams, such as due diligence or disclosure exercises;
• Enthusiasm and drive to achieve personal development targets and progress within your role.

This is an international role, with frequent travel to industry events and customer meetings, circumstances permitting.
